These Terms of Service ("Terms") govern your access to and use of the rAIcruited platform, including our website, mobile application, and related services (collectively, the "Service"), operated by RaiCRUITED Inc. ("rAIcruited," "we," "our," or "us"). By creating an account or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using the Service, you confirm that you have read, understood, and agree to these Terms, along with our Privacy Policy (available at raicruited.com/privacy-policy), which is incorporated herein by reference. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 13 years of age to use the Service. Users under 18 require verifiable parental or legal guardian consent prior to registration. By registering on behalf of a minor, the parent or guardian agrees to these Terms and assumes full responsibility for the minor's use of the Service. We do not knowingly collect personal information from children under 13. If we learn that we have, we will promptly delete it.

3. Account Registration

You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at privacy@raicruited.com if you suspect unauthorized access to your account. We reserve the right to suspend or terminate accounts that contain false information or violate these Terms.

4. License Grant

Subject to your compliance with these Terms, rAIcruited grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use in connection with college athletic recruiting. This license does not include any rights to sublicense, resell, or make the Service available to third parties.

5. Prohibited Uses

You agree not to:

Copy, modify, distribute, sell, or lease any part of the Service
Reverse engineer, decompile, or attempt to extract source code from the Service
Use the Service to scrape, harvest, or collect data on coaches, athletes, or institutions without authorization
Use automated tools, bots, or scripts to access or interact with the Service
Impersonate any person or entity, or misrepresent your affiliation with any school, program, or organization
Upload content that is false, misleading, defamatory, obscene, or that violates any third-party rights
Use the Service in any way that violates applicable law, including NCAA, NAIA, NJCAA, or other governing body rules
Interfere with or disrupt the integrity or performance of the Service

6. Athlete Profiles and User Content

You retain ownership of the content you submit to the Service, including athletic statistics, academic information, highlight videos, and profile data ("User Content"). By submitting User Content, you grant rAIcruited a worldwide, royalty-free, non-exclusive license to use, store, display, and process that content solely to operate and improve the Service.
You represent and warrant that you have all necessary rights to submit your User Content and that it does not violate any third-party rights or applicable law. You are solely responsible for the accuracy of your User Content. rAIcruited does not guarantee that coach or recruiter data is complete, current, or accurate, and is not responsible for recruiting outcomes.

7. Coach and Recruiter Accounts

Coaches and recruiters who access the Service agree to use athlete profile information solely for legitimate collegiate recruiting purposes. Any use of athlete data for marketing, solicitation, or purposes unrelated to recruiting is strictly prohibited. Coach account access may be revoked at any time at our discretion.

8. Subscriptions and Payment

The Service is offered on a free-tier basis and through paid subscription plans. Paid plans are billed through Stripe on a recurring basis (monthly or annual, as selected). By subscribing to a paid plan, you authorize rAIcruited to charge your payment method on a recurring basis until you cancel.
Cancellation: You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods.
Price Changes: We reserve the right to modify pricing with at least 30 days notice. Continued use after a price change constitutes acceptance of the new pricing.
Free Trial: If a free trial is offered, it will convert to a paid subscription at the end of the trial period unless cancelled before that date.

9. Intellectual Property

All content, features, and functionality of the Service, including but not limited to software, algorithms, text, graphics, logos, and data compilations, are the exclusive property of rAIcruited or its licensors and are protected by applicable intellectual property laws. Nothing in these Terms grants you any ownership interest in the Service.

10. Privacy

Your use of the Service is governed by our Privacy Policy. You acknowledge and agree that rAIcruited may collect, use, and share your information as described therein, including transfer to and processing within the United States. California residents have additional rights under applicable state law.

11. Third-Party Services and Links

The Service may integrate with or link to third-party platforms (including video hosting, recruiting databases, and payment processors). These third-party services are governed by their own terms and privacy policies. rAIcruited is not responsible for the content, accuracy, or practices of any third-party service and provides access to such services at your sole risk.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, rAIcruited EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. NO ADVICE OR INFORMATION OBTAINED FROM rAIcruited SHALL CREATE ANY WARRANTY NOT STATED IN THESE TERMS.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, rAIcruited, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.
IN NO EVENT SHALL rAIcruited'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO rAIcruited IN THE 12 MONTHS PRIOR TO THE CLAIM, OR (B) $50 USD.
SOME JURISDICTIONS DO NOT ALLOW EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.

14. Indemnification

You agree to defend, indemnify, and hold harmless rAIcruited and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in connection with: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any third-party rights.

15. Termination

We may suspend or terminate your account and access to the Service at any time, with or without cause or notice, including for violation of these Terms. Upon termination, your license to use the Service ceases immediately. Sections 9, 12, 13, 14, and 16 survive termination.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to its conflict of law principles. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Los Angeles County, California. You waive any objection to such jurisdiction and venue.
FOR USERS IN THE EU/EEA: Nothing in these Terms limits any rights you may have under applicable consumer protection laws in your jurisdiction.

17. Changes to These Terms

We reserve the right to update these Terms at any time. Material changes will be communicated by email or a prominent notice within the Service at least 14 days before taking effect. Continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.

18. Miscellaneous

These Terms constitute the entire agreement between you and rAIcruited regarding the Service and supersede all prior agreements. If any provision is found unenforceable, the remaining provisions remain in full force. Our failure to enforce any right or provision is not a waiver of that right. You may not assign your rights under these Terms without our prior written consent.
